1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Ryzon Automation LLC ("we," "our," or "us") governing your access to and use of our website ryzonautomation.com (the "Site") and the services we provide ("Services").

By accessing or using our Site and Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Site or Services.

2. Services Description

Ryzon Automation LLC provides AI automation services, web design and development, CRM and lead automation solutions, social media growth strategies, SEO management, automated review systems, and related digital marketing services. The specific features and scope of services may vary based on your selected subscription plan or custom agreement.

3. Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you are of legal age to form a binding contract and meet all eligibility requirements. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Account Registration and Security

4.1 Account Creation

To access certain features of our Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate and current.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Use a strong, unique password
• Notify us immediately of any unauthorized use of your account
• Not share your account credentials with others
• Log out from your account at the end of each session

We are not liable for any loss or damage arising from your failure to maintain account security.

5. Subscription Plans and Pricing

5.1 Subscription Terms

Our Services are offered through various subscription plans (Starter, Advanced, Pro) with different features and pricing. Subscription fees are billed on a monthly basis unless otherwise specified in your agreement.

5.2 Billing and Payment

By subscribing to our Services, you agree to pay all fees associated with your subscription plan. Payments are due on the billing date specified in your account. We accept major credit cards and other payment methods as indicated on our Site. You authorize us to charge your payment method for all fees incurred.

5.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. By subscribing, you authorize us to automatically charge your payment method for each renewal period.

5.4 Price Changes

We reserve the right to modify our pricing at any time. Price changes will be communicated to you at least 30 days in advance and will apply to your next billing cycle. Your continued use of the Services after the price change takes effect constitutes your acceptance of the new pricing.

5.5 Taxes

All fees are exclusive of applicable taxes, levies, or duties. You are responsible for paying all such taxes, except for taxes based on our net income.

6. Cancellation and Refunds

6.1 No Contracts

We offer flexible month-to-month subscriptions with no long-term contracts. You may cancel your subscription at any time through your account settings or by contacting our customer support.

6.2 Cancellation Policy

If you cancel your subscription, you will continue to have access to the Services until the end of your current billing period. After cancellation, your subscription will not renew, and you will not be charged for subsequent billing periods.

6.3 Refund Policy

Subscription fees are non-refundable except as required by law or as explicitly stated in a custom service agreement. If you are dissatisfied with our Services, we encourage you to contact us to discuss your concerns before canceling.

7. Acceptable Use Policy

8. Intellectual Property Rights

The Site and Services, including all content, features, functionality, software, code, designs, graphics, logos, and trademarks, are owned by Ryzon Automation LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.

8.2 Your Content

You retain all rights to any content, data, or materials you submit, upload, or provide through the Services ("Your Content"). By providing Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, distribute, and display Your Content solely for the purpose of providing and improving the Services.

You represent and warrant that you own or have the necessary rights to provide Your Content and that Your Content does not violate any third-party rights or applicable laws.

8.3 Deliverables and Work Product

Upon full payment of all fees, you will own the final deliverables created specifically for you as part of our Services (e.g., custom website designs, automation workflows). We retain ownership of any pre-existing materials, templates, tools, or methodologies used in creating the deliverables.

9. Third-Party Services and Links

Our Services may integrate with or contain links to third-party services, websites, or applications. We are not responsible for the content, functionality, or practices of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms and policies.

10. Warranties and Disclaimers

10.1 Service Availability

We strive to provide reliable and uninterrupted Services but cannot guarantee that the Services will always be available or error-free. We may suspend or discontinue the Services for maintenance, updates, or other operational reasons.

10.2 No Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL RYZON AUTOMATION LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES. IN SUCH JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to indemnify, defend, and hold harmless Ryzon Automation LLC, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your Content or any materials you provide
• Your negligence or willful misconduct

13. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party that is marked as confidential or would reasonably be considered confidential. Confidential information does not include information that is publicly available, independently developed, or lawfully obtained from third parties.

14. Termination

14.1 Termination by You

You may terminate your account at any time by canceling your subscription through your account settings or contacting us.

14.2 Termination by Us

We may suspend or terminate your access to the Services immediately, without prior notice, if you violate these Terms or engage in conduct that we believe is harmful to us, other users, or third parties. We may also terminate inactive accounts.

14.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. We may delete your account and all associated data. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, disclaimers, limitations of liability, and dispute resolution.

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

If you have a dispute with us, you agree to first contact us and attempt to resolve the dispute informally by sending a written notice describing the issue to contact@ryzonautomation.com.

15.2 Binding Arbitration

If the dispute cannot be resolved informally, you agree that any claim or dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in Commerce Township, Michigan, or another mutually agreed location.

15.3 Class Action Waiver

YOU AND RYZON AUTOMATION LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Oakland County, Michigan.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Site and updating the "Last Updated" date. Your continued use of the Services after the changes take effect constitutes your acceptance of the modified Terms.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Ryzon Automation LLC regarding the Services.

18.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18.3 Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term.

18.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets.

18.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or internet service interruptions.
